Terms and conditions for use of the Barnhill Revenue Services website.

Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the Barnhill Revenue Services marketing website at barnhillrm.org and any related sub-domains we operate (collectively, the “Site”). Engagement of Barnhill Revenue Services, LLC to provide revenue management services for a hotel or portfolio (the “Services”) is governed by a separate written engagement letter between Barnhill Revenue Services, LLC and the engaging client; in the event of any conflict between these Terms and that engagement letter, the engagement letter controls for the Services.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

About us

Barnhill Revenue Services, LLC is a limited liability company formed in the State of Texas, United States. References in these Terms to “we,” “us,” or “our” mean Barnhill Revenue Services, LLC.

Eligibility

The Site is intended for hotel professionals, owners, asset managers, management-company personnel, and partners interested in our Services. By using the Site you represent that you are at least 18 years old and able to form a binding contract.

Site content and intellectual property

The Site, including its text, graphics, layout, source code, trademarks, logos, illustrations, screenshots, and any sample reports, is owned by Barnhill Revenue Services or our licensors and is protected by U.S. and international intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works of any content on the Site without our prior written consent.

“Barnhill Revenue Services,” the Barnhill Revenue Services logo, and related brand elements are trademarks of Barnhill Revenue Services, LLC. Third-party trademarks shown on the Site (for example, Hilton, Marriott, IHG, Hyatt, Wyndham, Choice, Best Western/BWH Hotels, Sonesta, Mews, Cloudbeds, Opera Cloud, Stayntouch, Duetto, IDeaS, SiteMinder, Amadeus, Cvent/Synxis, Lighthouse, STR, RateGain, and Agilysys) are the property of their respective owners and are used solely for descriptive, compatibility, and comparative purposes. Their inclusion does not imply endorsement, affiliation, or sponsorship.

Permitted use

You may view, navigate, and print pages of the Site for your internal evaluation, education, and information purposes. Any other use, including but not limited to commercial use, large-scale extraction, framing, mirroring, or use of automated systems beyond standard, well-behaved web crawlers, requires our prior written permission.

Acceptable use

When using the Site, you agree not to:

  • attempt to gain unauthorized access to any portion of the Site or any related systems or networks;
  • introduce viruses, worms, or other malicious code;
  • probe, scan, or test the vulnerability of any system without our prior written permission;

Forms and submissions

When you submit information through a form on the Site (for example, a strategy-call request), you agree to provide accurate and current information. We will handle the information in accordance with our Privacy Policy. You acknowledge that responses to inquiries are conducted by Barnhill Revenue Services personnel and that nothing on the Site constitutes a binding offer to provide services; engagement of Barnhill Revenue Services requires a separately signed engagement letter.

Third-party links and integrations

The Site may contain links to third-party websites, services, and integration partners. These links are provided for convenience and do not constitute endorsement. We are not responsible for the content, terms, or practices of any third party. Your interactions with third parties are governed by their own terms and privacy policies.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT.

Sample data, sample reports, sample STR/RevPAR figures, and any modeled outputs shown on the Site are for illustrative purposes only and should not be relied upon for revenue or business decisions.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BARNHILL REVENUE SERVICES, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Barnhill Revenue Services, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The state and federal courts located in Dallas County, Texas, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, and you consent to personal jurisdiction in those courts.

Changes to the Site and to these Terms

We may modify the Site or these Terms at any time. If we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
